Terms

These are not the terms of service. This page records what the terms will have to settle, so that counsel can draft them against how the product actually works. Nothing here binds anyone, and it will be replaced in full before Teachouse takes an account.

What counsel needs to know about the product

  • Teachouse is an independent tool. It is not affiliated with, and not endorsed by, any marketplace it connects to.
  • The seller keeps their own relationship with each marketplace, including that marketplace's own terms, and Teachouse acts within the seller's own account.
  • For marketplaces with no official API, the request that reaches the marketplace comes from the seller's device under the seller's login.
  • For marketplaces with an official API, Teachouse acts under a token that marketplace issued for the purpose.
  • There are two charges: a one-off catalogue import, priced by how many resources come across, and one subscription billed monthly or annually. Both are billed through a third-party merchant of record.
  • A founding offer discounts the first year and the ongoing subscription for the first hundred sellers who take it, and includes their first twenty imports.
  • Some marketplace rules are enforced as a step the seller must clear before publishing rather than as a warning; a pricing rule that a marketplace imposes on its sellers is the example.
  • The seller decides matters the marketplace makes theirs to decide, such as a tax designation or a copyright assertion; Teachouse never fills one in on their behalf.

Questions this document must answer

  • Which jurisdiction's law governs, and where disputes are heard.
  • What is promised about availability, and what is not.
  • Where liability sits when a marketplace changes and a publish fails.
  • How a subscription is cancelled, and what happens to the catalogue afterwards.
  • What happens if a marketplace objects to the tool.
  • How a change to these terms is notified and takes effect.
